1. Agreement to Terms
By accessing or using WeShipTech's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
WeShipTech provides "CTO as a Service" offerings, including but not limited to technical leadership, MVP development, architecture consulting, team building, and strategic technology guidance for startups and businesses.
3. Service Engagement
Engagement of our CTO services is subject to:
- Mutual agreement on project scope and deliverables
- Execution of a separate service agreement or statement of work
- Agreement on fees, payment terms, and timeline
- Availability of our CTO team members
4. Intellectual Property
Our Property
The WeShipTech website, brand, logos, and proprietary methodologies remain our exclusive property. You may not use, copy, or distribute our intellectual property without written permission.
Your Property
Unless otherwise agreed in a separate service agreement, all code, documentation, and deliverables created specifically for your project during our engagement will be assigned to you upon full payment.
5. Confidentiality
We understand the sensitive nature of your business information. We commit to maintaining the confidentiality of your proprietary information, trade secrets, and business strategies shared with us during our engagement. Specific confidentiality terms will be outlined in your service agreement.
6. Payment Terms
Payment terms for our services will be specified in your service agreement. Generally:
- Initial deposit may be required before work begins
- Invoices are due within the timeframe specified in your agreement
- Late payments may result in service suspension
- All fees are non-refundable unless otherwise stated
7. Limitation of Liability
To the maximum extent permitted by law, WeShipTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.
8. No Guarantee of Results
While we strive to deliver high-quality technical leadership and development services, we cannot guarantee specific business outcomes, revenue, or success of your product in the market. Our role is to provide expert technical guidance and execution.
9. Termination
Either party may terminate a service engagement as specified in the service agreement. Upon termination, you will be responsible for payment of all services rendered up to the termination date.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the updated terms.
